1. Parties and definitions
Service Provider: Data innovations MB, company code 308172154, registered office Lvivo g. 91-48, LT-00153 Vilnius, e-mail info@datainnovations.lt. Customer: a company or organisation that has ordered the MarketScope service. Platform: the MarketScope software, available at marketscope.lt/app. Workspace: the Customer's account in the Platform with its projects, sources, rules and users. Users: the Customer's employees or representatives to whom the Customer has granted access.
These terms apply to business customers (B2B). Together with the order, invoice or a separate agreement, they form the service agreement. If a separate written agreement provides otherwise, the separate agreement applies.
2. The service
MarketScope collects and organises publicly available information (news publishers' RSS feeds, public procurement and company register data via official interfaces) according to the sources and rules set by the Customer, scores the items and provides summaries, alerts and reports. The sources and their terms are described on the Data sources and licences page.
Artificial intelligence summaries, translations and relevance scores are an automated interpretation that may be inaccurate or incomplete. Before making business decisions, the Customer must verify the information in the original source. The Service Provider is not responsible for the content, accuracy or availability of third-party sources.
3. Accounts and security
The Customer is responsible for its Users, the roles assigned to them and the security of login credentials. We recommend enabling two-factor authentication. The Customer must report any suspected unauthorised access without delay by e-mail to info@datainnovations.lt.
4. Permitted use
The Customer uses the Platform for its internal business purposes. It is prohibited to:
- resell or publicly distribute publishers' content obtained from the Platform (article excerpts); use the links to the originals instead;
- automatically scrape the Platform, circumvent its limits or security measures, or attempt to access other customers' data;
- use the Platform for unlawful purposes or in breach of third-party rights.
5. Prices and payments
The price and billing period (month or year) are stated in the order or the Customer's plan. The Service Provider is not registered for VAT, so no VAT is charged. The invoice is issued and sent by e-mail 7 days before the payment due date and is paid by bank transfer by the date stated on the invoice.
A reminder is sent 2 days before the due date. If the invoice is not paid, the Customer receives an overdue payment notice on the day after the due date, and 24 hours after this notice access to the Workspace is temporarily suspended. During suspension the data is retained, and access is restored as soon as payment is received.
6. Term and termination
The agreement renews for each subsequent billing period unless either party terminates it. The Customer may terminate the agreement at any time by notice by e-mail no later than the start of the next period; money paid for a period that has already started is not refunded unless the parties agree otherwise. The Service Provider may terminate the agreement if the Customer materially breaches these terms and does not remedy the breach within 14 days of notice.
7. Customer data
Data entered by the Customer (projects, rules, notes, sales statuses) belongs to the Customer. The Customer may export it at any time (CSV, XLSX). After the agreement ends, the Customer's Workspace data is deleted within 30 days, unless the Customer requests earlier deletion or the law requires longer retention. Processing of personal data is governed by the Data Processing Agreement and the Privacy policy.
8. Availability and maintenance
We aim to keep the Platform running without interruption and monitor its operation. Planned maintenance is carried out outside working hours where possible. A specific service level (SLA) applies only when it is stated in a separate agreement.
9. Intellectual property
The Platform, its software, design and trademarks belong to the Service Provider. Publishers' content belongs to the respective publishers. The Customer is granted a non-exclusive, non-transferable right to use the Platform for the term of the agreement.
10. Liability
The Service Provider's liability under the agreement is limited to the amount the Customer paid in the 3 months before the damage occurred. The Service Provider is not liable for indirect losses, loss of profit or decisions made on the basis of information from the Platform. These limitations do not apply to damage caused intentionally or by gross negligence.
11. Confidentiality
The parties protect each other's confidential information obtained in performing the agreement and do not disclose it to third parties without consent, except where required by law.
12. Changes to the terms
We notify customers of changes to the terms by e-mail at least 30 days in advance. If the Customer does not agree with the changes, it may terminate the agreement before they take effect.
13. Governing law and disputes
The agreement is governed by the law of the Republic of Lithuania. Disputes are settled by negotiation and, failing agreement, by the courts of the Republic of Lithuania according to the location of the Service Provider's registered office.
